Terms of Service
Effective date: June 2026. Plain-language terms — the signed proposal for your specific project always takes precedence.
1. Agreement
These terms govern your use of https://trodas.com and, unless superseded by a signed agreement, our working relationship. Individual projects are always governed by a written proposal or contract that takes precedence over these general terms.
2. Services
Trodas provides software engineering services including AI/LLM development, Python automation, web application development, computer vision, and data annotation. Scope, timeline, and price for any engagement are defined in a written proposal before work begins.
3. Payment
Projects are billed by milestone (typically 30/40/30); retainers monthly in advance. Invoices are payable within 14 days in USD unless otherwise agreed. Work may pause on accounts more than 14 days overdue.
4. Intellectual property
Upon full payment, all custom code, designs, and deliverables created for your project are owned by you. We retain ownership of pre-existing tools and generic libraries we bring to a project, which you receive a perpetual license to use within your deliverables.
5. Confidentiality
Information shared during an engagement is kept confidential indefinitely, whether or not an NDA is signed. We are happy to execute your standard NDA before any detailed technical discussion.
6. Warranty
Deliverables include a 30-day warranty covering defects against the agreed specification, fixed at no cost. The warranty excludes issues caused by third-party changes, modified code, or use outside the agreed scope.
7. Liability
Our total liability under any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential damages, including lost profits or data, to the maximum extent permitted by law.
8. Termination
Either party may terminate a project engagement with 14 days written notice (retainers: 30 days). On termination, you pay for work completed to date and receive all work product completed up to that point.
9. Governing law
These terms are governed by the laws of India. Project-specific contracts may specify alternative jurisdiction by mutual agreement, which many of our international clients choose to do.
